1. Overview

These Terms and Conditions (“Terms”) govern your use of the Rev Dealer Resources platform, website, and services. By accessing our website, creating an account, or engaging with Rev Dealer Resources in any capacity, you agree to be bound by these Terms. If you do not agree, please discontinue use of our services.

Rev Dealer Resources (“we,” “our,” “us”) provides dealer support services, vehicle service contract (VSC) administration tools, and related business resources in partnership with our affiliated third-party administrators (TPAs).

2. Who We Are and What You’re Signing Up For

Rev Dealer Resources is a dealer-facing platform designed to help automotive dealers and agents sell, manage, and support vehicle service contracts. By registering with Rev Dealer Resources, you are enrolling as a dealer partner or authorized agent and gain access to:

• Our contract ordering and management platform
• Rate cards, pricing tools, and product resources
• Claims support and client relations assistance
• Marketing materials and promotional resources
• Commission tracking and reporting tools
• Ongoing dealer support from our team

Access to the platform is granted at our discretion and may be subject to a separate dealer agreement or onboarding documentation.

3. Eligibility

By using our services, you represent that you are at least 18 years of age, are authorized to enter into a binding agreement on behalf of yourself or your business, and that all information you provide to us is accurate and current. We reserve the right to deny or revoke access to any individual or business that does not meet our eligibility requirements.

4. SMS and Electronic Communications

By providing your phone number or email address to Rev Dealer Resources, you consent to receive communications from us electronically, including via SMS text message and email. These communications may include account updates, promotional offers, platform notifications, and support-related messages.

By providing your phone number, you consent to receive text messages from Rev Dealer Resources. Message and data rates may apply. You can opt out at any time by replying STOP to any message you receive from us. For help, reply HELP.

Opting out of SMS communications will not affect your ability to receive email communications or access the platform, unless otherwise specified.

5. Vehicle Service Contracts

Rev Dealer Resources facilitates the sale and administration of vehicle service contracts through our affiliated TPAs. By selling or enrolling contracts through our platform, you acknowledge that:

• Contract coverage terms, conditions, and exclusions are governed by the individual contract documents issued by our affiliated TPAs
• Rev Dealer Resources does not independently underwrite or guarantee any vehicle service contract
• Claims are processed according to our affiliated TPAs’ guidelines and are subject to their review and approval
• It is your responsibility as a dealer or agent to accurately represent coverage to customers and to comply with all applicable state and federal regulations governing the sale of vehicle service contracts

6. Platform Use and Acceptable Use

You agree to use the Rev Dealer Resources platform only for its intended business purposes. You may not:

• Share login credentials with unauthorized individuals
• Use the platform to submit fraudulent contracts, false claims, or inaccurate information
• Attempt to reverse-engineer, copy, or redistribute any portion of our platform or proprietary materials
• Use our tools or resources to compete directly against Rev Dealer Resources

We reserve the right to suspend or terminate access to any account we determine is being misused or operated in bad faith.

7. Commissions and Payments

Commission structures, payment schedules, and ACH payment terms are governed by your individual dealer agreement with Rev Dealer Resources. We reserve the right to adjust commission rates, payment timing, or program structures with reasonable notice. Any disputes related to commissions or payments should be submitted in writing to admin@rev-dr.com.

8. Limitations and Disclaimers

Rev Dealer Resources provides its platform and resources on an “as is” and “as available” basis. To the fullest extent permitted by law:

• We make no warranties, express or implied, regarding the accuracy, reliability, or completeness of any information on our platform
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of our services
• We are not responsible for decisions made by our affiliated TPAs regarding contract approvals, claim outcomes, or coverage determinations
• We do not guarantee uninterrupted or error-free access to our platform and reserve the right to perform maintenance, updates, or modifications at any time

Our total liability to you for any claim arising out of or related to these Terms shall not exceed the total fees paid by you to Rev Dealer Resources in the three months preceding the claim.

9. Intellectual Property

All content on the Rev Dealer Resources platform — including but not limited to text, graphics, logos, rate cards, training materials, and marketing collateral — is the property of Rev Dealer Resources and may not be reproduced, distributed, or used outside of its intended purpose without our written consent.

10. Changes to These Terms

We may update these Terms periodically to reflect changes in our services, legal requirements, or business practices. Updates will be posted with a revised effective date. Continued use of our platform or services following any update constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the appropriate courts of Utah County or Salt Lake County, Utah.
